KNOWN KEEP LLC

REPORT RUNNER

Standard Subscription Terms and Conditions (T&C)

Last Updated: 04/02/2026

These Standard Subscription Terms and Conditions (“Terms”) apply to all standard Report Runner subscriptions provided by Known Keep LLC (“Known Keep”) under a valid subscription or license agreement (the “Agreement”). These Terms are incorporated by reference into the Agreement and apply automatically to all Customers on a standard Report Runner subscription. By purchasing, renewing, installing, or continuing to use Report Runner on a standard subscription, Customer acknowledges and agrees to these Terms.

These Terms supplement, and do not replace, Known Keep’s other governing documents:

The governing documents are intended to operate together without conflict. In the event of any genuine conflict that cannot be resolved by reading the documents harmoniously, the order of precedence shall be: (i) the Report Runner Software License Agreement and Warranty Statement (the “License Agreement”), (ii) the Known Keep Data Processing Addendum (the “DPA”), and (iii) these Terms. The License Agreement shall control with respect to software licensing rights, intellectual property, warranty disclaimers, limitation of liability, and export controls. These Terms govern the commercial subscription relationship and the scope of standard subscription services.

1. Scope of Standard Subscription

1.1 A standard Report Runner subscription provides Customer with a time-limited license to use Report Runner software in accordance with the License Agreement, the DPA, and these Terms.

1.2 Report Runner is installed and operated entirely within Customer’s own environment. Known Keep does not host, access, or process Customer data, except as expressly described in the DPA. Customer is solely responsible for the hosting, processing, security, and use of all data within its own systems.

1.3 Standard subscriptions are offered on a recurring term basis (typically yearly, though monthly or quarterly terms may be offered at Known Keep’s discretion). Each subscription term is independent, and there is no obligation by either party to renew at the end of any term.

2. Governing Documents

2.1 A standard Report Runner subscription is governed solely by the following documents, as published by Known Keep at the time Customer purchases or renews the applicable subscription, and as updated from time to time for future renewals or continued use after notice of the updated terms:

  • The Report Runner Software License Agreement and Warranty Statement
  • The Known Keep Data Processing Addendum (DPA)
  • These Standard Subscription Terms and Conditions

2.2 No purchase order, vendor form, addendum, amendment, contract, or any other document issued by Customer shall modify, amend, supersede, or supplement these Terms or any other governing document, regardless of any language contained in such documents. Any such Customer-issued terms shall be deemed null and void and shall have no force or effect.

3. Purchase Orders

3.1 Known Keep does not accept Customer-issued purchase orders (“POs”) as binding documents. A PO does not constitute an agreement, contract, or modification to the License Agreement, the DPA, these Terms, or any other Known Keep governing document.

3.2 In limited circumstances, Known Keep may agree to reference a Customer-issued PO number on an invoice for the sole purpose of supporting Customer’s internal tracking, accounting, or budget reconciliation needs. Known Keep’s reference to or acknowledgment of a PO number on an invoice is solely a clerical accommodation and shall not be construed as:

  • Acceptance of any terms, conditions, addenda, or legal language contained in, attached to, or referenced by the purchase order;
  • An agreement to be bound by the purchase order or any document referenced therein;
  • A modification, amendment, or supplement to the License Agreement, the DPA, these Terms, or any other Known Keep governing document; or
  • An agreement to honor any custom requirements imposed by the purchase order.

3.3 Customer should submit only generic, simplified purchase orders containing the product description, price, and PO number. Purchase orders should not contain terms, conditions, addenda, contract language, or any other binding legal terms. Any such terms submitted with, attached to, or embedded within a purchase order shall be deemed null and void and shall have no force or effect on the subscription.

3.4 Known Keep reserves the right to reject any purchase order, in whole or in part, at its sole discretion. Known Keep may acknowledge receipt of any purchase order submitted by Customer; however, acknowledgment of receipt does not constitute acceptance of the purchase order or any of its contents.

4. What Is Included in a Standard Subscription

4.1 A standard Report Runner subscription includes:

  • A license to use Report Runner software for the subscription term, in accordance with the License Agreement.
  • Access to standard product support during Known Keep’s normal business hours, via Known Keep’s published support channels.
  • Access to standard product updates and patches released during the subscription term.
  • A current W-9, automatically included with invoices.
  • Standard vendor information published by Known Keep on its website.

5. What Is Not Included in a Standard Subscription

5.1 A standard Report Runner subscription does not include any of the following. These items are not available under a standard subscription, regardless of the size, type, or industry of the Customer:

  • Custom legal agreements, addenda, amendments, or modifications to Known Keep’s standard governing documents (License Agreement, DPA, or these Terms).
  • Execution, completion, or signature of any Customer-issued vendor paperwork, vendor questionnaires, supplier onboarding forms, or similar documentation.
  • Acceptance of Customer-issued purchase orders as binding documents (see Section 3 for purchase order handling).
  • Issuance of certificates of insurance (COI) naming Customer as a certificate holder, additional insured, or otherwise.
  • Custom insurance coverage requirements, including but not limited to cyber liability, professional liability, errors and omissions, or any other coverage beyond Known Keep’s standard policies.
  • Custom security questionnaires, audit responses, SOC reports, penetration test results, or similar documentation.
  • Custom indemnification provisions, custom limitation-of-liability provisions, or any modification to the warranty and liability terms set forth in the License Agreement.
  • Custom data processing terms, custom data retention requirements, or any modification to the DPA.
  • Custom service level agreements (SLAs), uptime guarantees, response time commitments, or escalation procedures.
  • Customer-specific contract terms, master service agreements (MSAs), or master purchase agreements.
  • Any other custom paperwork, documentation, or contractual modification not expressly listed in Section 4 above.

5.2 Some or all of the items listed above may be available through Premier Infinity licensing (see Section 9), subject to Known Keep’s review and discretion. Premier Infinity licensing does not guarantee acceptance of any specific custom requirement.

5.3 Customer-issued documents submitted in violation of this Section will not be reviewed, completed, or signed by Known Keep, and shall have no force or effect on the subscription. Known Keep may acknowledge receipt of such documents as a courtesy, but acknowledgment of receipt does not constitute acceptance.

6. Payment, Renewal, and Cancellation

6.1 Standard subscription pricing is determined solely by Known Keep and is published on Known Keep’s Report Runner web store. Pricing may change at any time and at Known Keep’s sole discretion.

6.2 Renewal payments must be made via credit card through the Known Keep web store, or via ACH where Known Keep has expressly agreed to issue an invoice. Customer-issued purchase orders are not accepted as binding payment documents (see Section 3).

6.3 Standard subscriptions do not automatically renew. Each renewal is a new, voluntary transaction between the parties, and either party may decline to renew at the end of any subscription term.

6.4 Subscriptions are non-refundable once paid, except as expressly required by the License Agreement or applicable law.

7. Customer Responsibilities

7.1 Customer is solely responsible for:

  • Installing, operating, configuring, and maintaining Report Runner within Customer’s own environment.
  • The hosting, processing, security, integrity, and lawful use of all data within Customer’s own environment.
  • Maintaining its own data backups and disaster recovery procedures.
  • Managing user access credentials and securing its own systems, networks, and devices.
  • Compliance with all applicable laws and regulations governing Customer’s use of the software and Customer’s data.

7.2 Known Keep does not remotely access, monitor, or interact with Customer’s systems or data as part of a standard subscription. Any references in Customer’s internal documents suggesting Known Keep has standing, persistent, or unattended access to Customer’s systems are inaccurate and shall not modify these Terms.

7.3 When requested by Customer, and with Customer’s explicit prior approval, Known Keep support personnel may temporarily access Customer’s environment (e.g., via screen-sharing or remote-assistance tools) for the limited purpose of providing support, troubleshooting, or installation assistance. Any such access is initiated by Customer, remains under Customer’s direct control, and ends when the support session concludes.

8. Warranty and Liability

8.1 The warranty disclaimers and limitation-of-liability provisions set forth in the License Agreement apply in full to all standard subscriptions and are not modified, expanded, or limited by these Terms.

8.2 Without limiting the License Agreement, Customer acknowledges that Report Runner is provided “as-is” and that Known Keep’s total liability under any subscription is capped as set forth in the License Agreement.

9. Premier Infinity Licensing

Customers who require any of the items listed in Section 5 — including, but not limited to, custom legal agreements, vendor paperwork completion, certificates of insurance, custom security documentation, custom SLAs, or any other custom contractual treatment — must upgrade to Premier Infinity licensing.

Premier Infinity licensing starts at $25,000 per year and is priced according to each Customer’s specific needs and requirements (including licensing scope, support requirements, legal review, custom documentation, and other factors).

To inquire about Premier Infinity licensing, please contact Known Keep at [email protected] or call 214-414-1986.

9.1 Premier Infinity is the only licensing tier under which Known Keep will engage in custom contractual review or negotiation. Customers with standard subscriptions will not be granted custom treatment, regardless of organizational size, industry, public-sector status, or any other factor.

9.2 Premier Infinity licensing may include custom paperwork, custom security documentation, custom SLAs, and similar custom commercial accommodations, subject to Known Keep’s review and discretion. Premier Infinity licensing does not include custom liability, warranty, or indemnification terms, and the License Agreement’s warranty disclaimers and limitation-of-liability provisions apply at all licensing tiers, unless Known Keep expressly agrees otherwise in a written agreement signed by Known Keep.

10. Termination

Known Keep may terminate any standard subscription if Customer conditions use of Report Runner on Known Keep accepting Customer-issued terms, or otherwise materially fails to comply with these Terms. Refunds, if any, are governed by the License Agreement and applicable law.

11. Modifications to These Terms

11.1 Known Keep may modify these Terms at any time by publishing an updated version at this URL. The “Last Updated” date at the top of this page reflects the most recent revision.

11.2 Customer’s continued use of Report Runner following notice of an updated version of these Terms constitutes Customer’s acceptance of the updated Terms. Material changes will apply to renewals on or after the publication date of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-laws principles, consistent with the License Agreement and DPA. The parties submit to the exclusive jurisdiction of the state and federal courts located in Texas.
